PLEASE NOTE THAT YOUR USE OF AND ACCESS TO OUR SERVICES (DEFINED BELOW) ARE SUBJECT TO THE FOLLOWING TERMS; IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SERVICES IN ANY MANNER.

Welcome to Promi. Please read on to learn the rules and restrictions that govern your use of our website, products, services, and applications (the "Services"). If you have any questions, comments, or concerns regarding these Terms or the Services, please contact us at support@promifinance.com.

These Terms of Service (the "Terms") are a binding contract between you and Promi Finance ("Promi," "we," "us," or "our"). You must agree to and accept all of the Terms, or you don't have the right to use the Services. Your using the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document, as well as those in the Privacy Policy.

Will These Terms Ever Change?

We are constantly trying to improve our Services, so these Terms may need to change along with the Services. We reserve the right to change the Terms at any time, but if we make material changes, we will notify you by:

  • Posting a notice on the promifinance.com website
  • Sending an email to your registered address

If you don't agree with the new Terms, you are free to reject them; unfortunately, that means you will no longer be able to use the Services. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

Except for changes by us as described here, no other amendment or modification of these Terms will be effective unless in writing and signed by both you and us.

What About My Privacy?

Promi takes the privacy of its users very seriously. For our current Privacy Policy, please click here.

We do not knowingly collect or solicit personally identifiable information from individuals under 18 years of age. If you are under 18, please do not attempt to register for the Services or send any personal information about yourself to us. If we learn we have collected personal information from an individual under 18, we will delete that information as quickly as possible. If you believe that someone under 18 may have provided us personal information, please contact us at support@promifinance.com.

What Are the Basics of Using Promi?

You may be required to sign up for an account and select a password and user name ("Promi User ID"). You promise to provide us with accurate, complete, and updated registration information about yourself. You may not select as your Promi User ID a name that you don't have the right to use, or another person's name with the intent to impersonate that person. You may not transfer your account to anyone else without our prior written permission.

If you are the household admin of your account, you may add other members of your household (each, a "Household Member") to your account, and such Household Members will have access to your account and your personal information, regardless of any privacy or similar settings within the account. For more information, please refer to our Privacy Policy.

You represent and warrant that you are an individual of legal age to form a binding contract (or if not, you've received your parent's or guardian's permission to use the Services and gotten your parent or guardian to agree to these Terms on your behalf).

You will only use the Services for your own internal, personal, non-commercial use, and not on behalf of or for the benefit of any third party, and only in a manner that complies with all laws that apply to you.

Unless specifically disclosed, you acknowledge and agree that we are not a financial institution (as such term is defined in the Gramm-Leach-Bliley Act, 15 USC §§ 6801 et seq., the "GLBA"), consumer reporting agency (as such term is defined in the Fair Credit Reporting Act, 15 U.S.C. § 1681a(d), the "FCRA"), creditor, credit repair company, credit counselor, debt consolidator, debt adjustor, loan servicer, or investment advisor or broker, or a "furnisher" of information to consumer reporting agencies, and that the Services are not a "consumer report" (as such term is defined in the FCRA). Any information provided to you through the Services — including peer comparisons, AI-generated insights, retirement projections, FIRE analyses, cash flow data, and net worth calculations — is not intended to provide investment, financial, insurance, accounting, legal, tax, or any other kind of professional advice or services. You also agree that you understand that we are not affiliated with any credit reporting agency. If your use of the Services is prohibited by applicable laws, then you aren't authorized to use the Services. We can't and won't be responsible for your using the Services in a way that breaks the law.

You will not share your account or password with anyone, and you must protect the security of your account and your password. You're responsible for any activity associated with your account, including any activity of your Household Members.

Prohibited Conduct

You represent, warrant, and agree that you will not (and will not cause your Household Members to):

  • Use the Services or interact with the Services in a manner that infringes or violates the intellectual property rights or any other rights of anyone else (including Promi)
  • Violate any law or regulation, including but not limited to any applicable export control laws, privacy laws, the FCRA, and the GLBA
  • Use the Services in a manner that is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable
  • Jeopardize the security of your Promi account or anyone else's (such as allowing someone else to log in to the Services as you)
  • "Crawl," "scrape," or "spider" any page, data, or portion of or relating to the Services or Content (through use of manual or automated means)
  • Copy or store any significant portion of the Content
  • Access the Services or content therein programmatically by macro or other automated means
  • Attempt, in any manner, to obtain the password, account, or other security information from any other user
  • Violate the security of any computer network, or crack any passwords or security encryption codes
  • Run any processes that interfere with the proper working of the Services (including by placing an unreasonable load on the Services' infrastructure)
  • Upload viruses, malware, or malicious code
  • Use the Services to develop any products or services that are competitive with any Promi product or service
  • Use the Services, any artificial intelligence models of Promi, or any Output (as defined below) to develop or train any artificial intelligence or machine learning model, or related products or services, whether competitive with Promi's products and services or not
  • Reverse assemble, reverse compile, decompile, translate, engage in artificial intelligence model extraction, exfiltration, or stealing attacks, or otherwise attempt to discover the source code or underlying components (such as the model, model parameters, or model weights) of the Services (including any AI-Powered Services), and related software, algorithms, and training data

You further represent and warrant that you are only providing information about your own accounts, assets, liabilities, and other financial information, and that you have all necessary rights and authorizations to provide any information that is submitted to Promi by you or third-party providers authorized by you. A violation of any of the foregoing is grounds for termination of your right to use or access the Services.

Bank Connection and Data Access

Promi uses Plaid Technologies, Inc. ("Plaid") to connect to your financial institutions. By linking your accounts through the Services, you:

  • Authorize Promi to access your account information via Plaid (read-only access only)
  • Grant Promi permission to retrieve transaction data, balances, investment holdings, and account details
  • Understand that Promi cannot move money, initiate transfers, or change account settings
  • Acknowledge that Plaid's terms of service and privacy policy also apply to your use of bank connections

By using the Services, you grant us and our service providers (including Plaid) the right to access information at third-party financial institutions on your behalf, including to retrieve information and use such information with the full power and authority to do and perform each and every act and thing required and necessary to be done in connection with such activities. You may revoke Promi's access to your bank accounts at any time by disconnecting them in your Account Settings or through your bank's online portal.

YOU ACKNOWLEDGE AND AGREE THAT WHEN WE OR OUR SERVICE PROVIDERS ACCESS AND RETRIEVE INFORMATION FROM THIRD-PARTY WEBSITES OR FINANCIAL INSTITUTIONS, WE AND/OR THEY ARE ACTING AT YOUR REQUEST AND WITH YOUR PERMISSION AND AUTHORIZATION, AND NOT ON BEHALF OF THE THIRD-PARTY WEBSITES OR INSTITUTIONS.

What Are My Rights in Promi?

The materials displayed or performed or available on or through the Services, including but not limited to text, graphics, data, articles, photos, images, illustrations, and so forth (all of the foregoing, the "Content") are protected by copyright and/or other intellectual property laws. You promise to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content you access through the Services, and you won't use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell, or otherwise exploit for any purpose any Content not owned by you, (i) without the prior consent of the owner of that Content or (ii) in a way that violates someone else's (including Promi's) rights.

You understand that Promi (and/or its suppliers or licensors, as applicable) owns the Services. You won't modify, publish, transmit, participate in the transfer or sale of, reproduce (except as expressly provided in this Section), create derivative works based on, or otherwise exploit any of the Services.

Do I Have to Grant Any Licenses to Promi?

Anything you post, upload, share, store, or otherwise provide through the Services is your "User Submission." For all User Submissions, you hereby grant Promi a license to translate, modify (for technical purposes, for example making sure your content is viewable on different devices and screen sizes) and reproduce and otherwise act with respect to such User Submissions, in each case to enable us to operate the Services. This is a license only — your ownership in User Submissions is not affected.

You retain ownership of the data you provide to Promi (transaction data, profile information, household data, etc.). By using the Service, you grant us a license to use that data solely to provide, maintain, and improve the Service.

If you provide us (in a direct email or otherwise) with any feedback, suggestions, improvements, enhancements, and/or feature requests relating to the Services (a "Public User Submission"), then you grant Promi the licenses above, as well as a license to use and exercise all rights in that Public User Submission in connection with the Services and/or otherwise in connection with Promi's business.

You agree that the licenses you grant are royalty-free, perpetual, sublicensable, irrevocable, and worldwide, provided that when you delete your Promi account, we will stop displaying your User Submissions to other users (if applicable), but you understand and agree that it may not be possible to completely delete that content from Promi's records.

Aggregated and De-Identified Data

You acknowledge and agree that we (and our suppliers or licensors) may create aggregated, de-identified, or anonymized data from the personal data we collect, including by removing information that makes the data personally identifiable to a particular user ("Aggregated De-Identified Data"). We may use such Aggregated De-Identified Data and disclose it to third parties for our lawful business purposes, including to analyze, build, and improve the Services and promote our business, provided that such data will not be disclosed in a manner that could identify you. This includes, for example, using anonymized financial data to power peer comparison benchmarks.

Additional Terms Regarding AI-Powered Services

Promi offers Services that incorporate or are powered by artificial intelligence technology, including AI-generated financial insights, the EPIM educational system, and other AI-assisted analysis features. These Services are referred to as "AI Services."

  • The information generated by AI Services is generated through use of artificial intelligence. Artificial intelligence and machine learning are rapidly evolving fields of study. Given the probabilistic nature of machine learning, use of AI Services may in some situations result in incorrect or inaccurate information.
  • As with all information provided by or obtained from our Services, the information provided by AI Services ("Output") does not constitute or substitute for financial advice of any kind, nor any other type of advice from qualified professionals. Accordingly, you must verify the accuracy of any Output with a qualified professional before relying on any such Output.
  • You acknowledge that relying upon any Output without first verifying the accuracy of such Output with a qualified professional could cause harm, including but not limited to legal, financial, and physical harm.
  • You will only use the Output provided by AI Services for your own personal purposes, and will not make any resulting information available publicly.
  • You will not include any unnecessary or deceptive inputs in connection with your use of AI Services (including in an attempt to steer the AI to generate inaccurate Output).

Third-Party Services and Links

The Services may contain links or connections to third-party websites or services that are not owned or controlled by Promi. When you access third-party websites or use third-party services, you accept that there are risks in doing so, and that Promi is not responsible for such risks.

Promi has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third-party websites or by any third party that you interact with through the Services. In addition, Promi will not and cannot monitor, verify, censor, or edit the content of any third-party site or service. By using the Services, you release and hold us harmless from any and all liability arising from your use of any third-party website or service.

Certain features of the Services are provided by Plaid Technologies, Inc. By agreeing to these Terms or using such features, you expressly consent to Plaid's end-user terms and privacy policy.

Will Promi Ever Change the Services?

We're always trying to improve the Services, so they may change over time. We may suspend or discontinue any part of the Services, or we may introduce new features or impose limits on certain features or restrict access to parts or all of the Services. We'll try to give you notice when we make a material change to the Services that would adversely affect you, but this isn't always practical. Similarly, we reserve the right to remove any Content from the Services at any time, for any reason (including, but not limited to, if someone alleges you contributed that Content in violation of these Terms), in our sole discretion, and without notice.

Does Promi Cost Anything?

Promi is a paid subscription service. All new accounts begin with a 14-day free trial, after which a paid plan is required to continue using the Services. Promi offers the following subscription plans:

  • Premium Monthly: $13.99/month, billed monthly. Includes peer comparison, AI insights, investment tracking, FIRE planning, retirement projections, and other advanced features.
  • Premium Annual: $139.99/year, billed annually. All Premium features at a discounted rate.
  • Lifetime Plan: $1,100 one-time payment. All Premium features, forever. Limited to the first 1,000 members.

Free Trial Terms:

  • New subscribers receive a 14-day free trial with full access to all Premium features
  • A valid payment method (credit or debit card) is required to start a free trial
  • At the end of the 14-day trial, your payment method will be automatically charged the subscription fee for the plan you selected unless you cancel before the trial ends
  • Free trials are limited to one per person. If you have previously used a free trial, you are not eligible for another
  • You may cancel your trial at any time before it ends by going to Settings → Billing and clicking Cancel Subscription

Billing Terms:

  • Premium subscriptions (Monthly and Annual) auto-renew at the end of each billing period unless canceled
  • You will be charged at the start of each billing cycle to the payment method you provided upon enrollment
  • Subscription Fees are generally non-refundable unless otherwise agreed to by Promi
  • Cancellations take effect at the end of the current billing period (no pro-rated refunds)
  • We offer a 30-day money-back guarantee for new Premium or Lifetime purchases

Promi reserves the right to change its pricing and to institute new charges at any time, upon at least 30 days' notice to you, which may be sent by email or posted on the website. Existing subscribers will be grandfathered into their current rate for 12 months following any price increase. Your use of the Services following such notification constitutes your acceptance of any new or increased charges. If you do not wish to pay the new pricing, your only remedy shall be to cancel your enrollment before the new pricing takes effect.

If you cancel prior to the end of a trial period and are inadvertently charged, please contact us at support@promifinance.com.

What If I Want to Stop Using Promi?

You're free to do that at any time by:

Please refer to our Privacy Policy, as well as the licenses above, to understand how we treat information you provide to us after you have stopped using our Services.

Promi is also free to terminate (or suspend access to) your use of the Services or your account, for any reason in our discretion, including your breach of these Terms. Promi has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms.

Account termination may result in destruction of any Content associated with your account, so keep that in mind before you decide to terminate your account. We will try to provide advance notice to you prior to our terminating your account so that you are able to retrieve any important data you may have stored in your account (to the extent allowed by law and these Terms), but we may not do so if we determine it would be impractical, illegal, not in the interest of someone's safety or security, or otherwise harmful to the rights or property of Promi.

Upon account deletion:

  • Your access to the Service will end immediately
  • We will delete your personal data within 30 days (per our Privacy Policy)
  • No refunds will be issued for unused Premium subscription time (except within the 30-day money-back guarantee period)

Data Export: Before deleting your account, you may export a copy of your data (transactions, accounts, balances, and profile information) in JSON or CSV format via Settings → Account → Export Data. We recommend doing this before initiating deletion, as we cannot guarantee data recovery once deletion has begun.

Household Members: If the household admin deletes their account, all Household Members will lose access to the household's shared data. Household Members should export any data they need before the admin initiates account deletion. We will make reasonable efforts to notify Household Members before deletion takes effect.

If you have deleted your account by mistake, contact us immediately at support@promifinance.com — we will try to help, but unfortunately, we can't promise that we can recover or restore anything.

Provisions that, by their nature, should survive termination of these Terms shall survive termination. By way of example, all of the following will survive termination: any obligation you have to pay us or indemnify us, any limitations on our liability, any terms regarding ownership or intellectual property rights, and terms regarding disputes between us.

Who Is Responsible for What I See and Do on the Services?

Any information or content publicly posted or privately transmitted through the Services is the sole responsibility of the person from whom such content originated, and you access all such information and content at your own risk, and we aren't liable for any errors or omissions in that information or content or for any damages or loss you might suffer in connection with it. We cannot control and have no duty to take any action regarding how you may interpret and use the Content or what actions you may take as a result of having been exposed to the Content, and you hereby release us from all liability for you having acquired or not acquired Content through the Services.

You are responsible for all Content you contribute, in any manner, to the Services, and you represent and warrant you have all rights necessary to do so, in the manner in which you contribute it. You will keep all your registration information accurate and current. You are responsible for all your activity and any activity of your Household Members in connection with the Services.

If there is a dispute between participants on this site, or between users and any third party, you agree that Promi is under no obligation to become involved. In the event that you have a dispute with one or more other users, you release Promi, its officers, employees, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and/or our Services. If you are a California resident, you shall and hereby do waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

You access the Services and all Content at your own risk. Neither Promi nor its licensors or suppliers makes any representations or warranties concerning any content contained in or accessed through the Services, and we will not be responsible or liable for the accuracy, copyright compliance, legality, or decency of material contained in or accessed through the Services.

No Financial Advice: No Content can or should be construed as professional advice of any kind (including financial planning, business, employment, investment, accounting, tax, and/or legal advice). Promi is a financial tracking, analysis, and educational tool — not a financial advisor, investment advisor, or broker. THE SERVICES AND CONTENT ARE PROVIDED BY PROMI (AND ITS LICENSORS AND SUPPLIERS) ON AN "AS-IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL PROMI (OR ITS LICENSORS OR SUPPLIERS) BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, COMPUTER FAILURE OR MALFUNCTION, OR RELATING TO YOUR DATA MADE AVAILABLE THROUGH THE SERVICES, OR (B) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF THE GREATER OF (I) $100 OR (II) THE AMOUNTS PAID BY YOU TO PROMI IN CONNECTION WITH THE SERVICES IN THE TWELVE (12) MONTH PERIOD PRECEDING THE APPLICABLE CLAIM, OR (C) ANY MATTER BEYOND OUR REASONABLE CONTROL. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify and hold Promi, its affiliates, officers, agents, employees, partners, suppliers, and licensors harmless from and against any and all claims, liabilities, damages (actual and consequential), losses, and expenses (including attorneys' fees) arising from or in any way related to any third-party claims relating to (a) your use of the Services (including any actions taken by a Household Member or other third party using your account), (b) your (or any Household Member's) violation of these Terms, and (c) your infringement (or infringement by any other user of your account) of any intellectual property or other right of anyone. In the event of such a claim, suit, or action ("Claim"), we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).

Governing Law and Dispute Resolution

These Terms are governed by and will be construed under the laws of the State of California, without regard to the conflicts of laws provisions thereof. Any dispute arising from or relating to the subject matter of these Terms shall be resolved as follows:

  • Informal Negotiation: Contact us at legal@promifinance.com to attempt to resolve any dispute informally first. We ask that you allow at least 30 days for informal resolution before initiating arbitration.
  • Small Claims Court: Notwithstanding the arbitration provisions below, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
  • Binding Arbitration: If informal negotiation fails, any dispute shall be finally settled in San Francisco County, California, in English, in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction.
  • Arbitration Fees: Promi will pay all JAMS filing, administration, and arbitrator fees in excess of the amount of the filing fee you would have paid to file in the court of general jurisdiction in your state of residence. If the arbitrator finds that your claims are frivolous, you agree to reimburse Promi for all such fees.

30-Day Opt-Out: You have the right to opt out of the arbitration and class action waiver provisions above by sending written notice of your decision to opt out to legal@promifinance.com within 30 days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of arbitration. If you opt out, the remainder of these Terms will continue to apply.

Notwithstanding the foregoing obligation to arbitrate disputes, each party shall have the right to pursue injunctive or other equitable relief at any time, from any court of competent jurisdiction. For all purposes of these Terms, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in, respectively, San Francisco County, California, or the Northern District of California.

ANY ARBITRATION UNDER THESE TERMS WILL TAKE PLACE ON AN INDIVIDUAL BASIS: CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED. YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND PROMI ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

Assignment

You may not assign, delegate, or transfer these Terms or your rights or obligations hereunder, or your Services account, in any way (by operation of law or otherwise) without Promi's prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent.

Apple App Store Additional Terms

These Terms apply to your use of all the Services, including the iOS applications available via the Apple, Inc. ("Apple") App Store (the "Application"), but the following additional terms also apply to the Application:

  • Both you and Promi acknowledge that the Terms are concluded between you and Promi only, and not with Apple, and that Apple is not responsible for the Application or the Content;
  • The Application is licensed to you on a limited, non-exclusive, non-transferable, non-sublicensable basis, solely to be used in connection with the Services for your private, personal, non-commercial use, subject to all the terms and conditions of these Terms as they are applicable to the Services;
  • You will only use the Application in connection with an Apple device that you own or control;
  • You acknowledge and agree that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Application;
  • In the event of any failure of the Application to conform to any applicable warranty, including those implied by law, you may notify Apple of such failure; upon notification, Apple's sole warranty obligation to you will be to refund to you the purchase price, if any, of the Application;
  • You acknowledge and agree that Promi, and not Apple, is responsible for addressing any claims you or any third party may have in relation to the Application;
  • You acknowledge and agree that, in the event of any third-party claim that the Application or your possession and use of the Application infringes that third party's intellectual property rights, Promi, and not Apple, will be responsible for the investigation, defense, settlement, and discharge of any such infringement claim;
  • You represent and warrant that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties;
  • Both you and Promi acknowledge and agree that, in your use of the Application, you will comply with any applicable third-party terms of agreement which may affect or be affected by such use; and
  • Both you and Promi acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as the third-party beneficiary hereof.

Google Play Store Additional Terms

The following additional terms apply to your use of the Android application available via the Google Play Store (the "Android Application"):

  • These Terms are between you and Promi only, and not with Google, Inc. or any of its affiliates ("Google"). Promi, and not Google, is solely responsible for the Android Application and its content;
  • Your use of the Android Application must comply with Google's then-current Google Play Terms of Service;
  • Google is only a provider of the Google Play Store where you obtained the Android Application. Promi, and not Google, is solely responsible for the Android Application, the content therein, maintenance, support services, and any warranty thereof, and addressing any claims relating thereto (e.g., product liability, legal compliance, or intellectual property infringement);
  • Google is not obligated to provide any maintenance or support services for the Android Application;
  • In the event of any failure of the Android Application to conform to any applicable warranty, you may notify Google, and Google may refund the purchase price (if any) for the Android Application to you. To the maximum extent permitted by applicable law, Google will have no other warranty obligation with respect to the Android Application;
  • Google and its subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the Android Application, and upon your acceptance of these Terms, Google will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

Export Restrictions

You acknowledge that the Services and any software underlying such Services are subject to the U.S. Export Administration Regulations (15 CFR, Chapter VII) and that you will comply with these regulations. You will not export or re-export the software or Services, directly or indirectly, to: (1) any countries that are subject to U.S. export restrictions; (2) any end user who has been prohibited from participating in U.S. export transactions by any federal agency of the U.S. government; or (3) any end user who you know or have reason to know will utilize them in the design, development, or production of nuclear, chemical, or biological weapons. You further acknowledge that the Services may include technical data subject to export and re-export restrictions imposed by U.S. law.

Miscellaneous

You will be responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your activity in connection with the Services, provided that Promi may, in its sole discretion, do any of the foregoing on your behalf or for itself as it sees fit. The failure of either you or us to exercise, in any way, any right herein shall not be deemed a waiver of any further rights hereunder. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these Terms shall otherwise remain in full force and effect and enforceable. You and Promi agree that these Terms are the complete and exclusive statement of the mutual understanding between you and Promi, and that it supersedes and cancels all previous written and oral agreements, communications, and other understandings relating to the subject matter of these Terms. You hereby acknowledge and agree that you are not an employee, agent, partner, or joint venture of Promi, and you do not have any authority of any kind to bind Promi in any respect whatsoever.
